Replace AI Terms of Use

1. Acceptance of Terms

By accessing or using the Replace AI application ("the Application"), you expressly acknowledge and agree to be bound by these Application-specific terms ("App Terms") in addition to BrandBeat's general Terms of Use ("General Terms"). If you do not agree to any part of these App Terms or the General Terms, you must immediately cease all use of the Application.

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

2. AI Service Description

The Application provides the following services through artificial intelligence technology:

• AI-powered text content replacement and enhancement
• Prompt-based text generation for selected text boxes
• Real-time text processing and optimization
• Context-aware content suggestions

3. AI Output Disclaimer

IMPORTANT NOTICE REGARDING AI-GENERATED CONTENT:

• All outputs generated by the Application are provided strictly on an "AS IS" and "AS AVAILABLE" basis
• You hereby assume sole responsibility for verifying and validating all AI-generated text content
• The Application makes no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, reliability, or suitability of AI outputs
• Processing times are variable and dependent upon multiple factors including, but not limited to, input complexity and system load

By using the Application, you explicitly acknowledge these limitations and assume all risks associated with reliance on AI-generated content.

4. Usage Guidelines and Restrictions

You hereby agree to the following binding conditions of use:

• You shall not utilize the Application for generating any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable
• Any attempt to reverse engineer, circumvent, or compromise the AI system is strictly prohibited
• The use of automated scripts, bots, or other programmatic means of accessing or interacting with the Application is expressly forbidden
• You shall strictly adhere to all rate limits, usage quotas, and fair use policies as determined by BrandBeat in its sole discretion

5. Intellectual Property and Data Rights

With respect to text content and AI interactions:

• You retain all intellectual property rights in your original content, subject to the licenses granted herein
• AI-generated content is provided under a limited, non-exclusive, non-transferable license for your personal or business use
• You hereby grant BrandBeat a worldwide, royalty-free license to analyze anonymized usage patterns for service improvement
• You expressly authorize the processing of your text content for AI operations, subject to our Privacy Policy

6. Technical and Service Limitations

The Application is subject to the following technical constraints:

• Text content length and complexity shall not exceed reasonable processing limits
• API calls are subject to rate limiting based on your subscription tier
• Temporary processing data is retained only for the duration of active processing
• Feature availability is strictly determined by your current subscription tier

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF SINGAPORE:

• IN NO EVENT SHALL BRANDBEAT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES
• BRANDBEAT EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY LOSS OR CORRUPTION OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES
• BRANDBEAT BEARS NO RESPONSIBILITY FOR THE ACCURACY, QUALITY, INTEGRITY, LEGALITY, RELIABILITY, OR APPROPRIATENESS OF AI-GENERATED OUTPUTS
• YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE APPLICATION AND/OR AI-GENERATED CONTENT IS TO CEASE USING THE APPLICATION

THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF WHETHER BRANDBEAT HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, AND TO THE FULLEST EXTENT PERMITTED BY SINGAPORE LAW.

8. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Singapore.

You agree that the courts of Singapore shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).

If any provision of these Terms is found to be unenforceable under Singapore law, such provision shall be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of these Terms shall remain in effect.
